Great article in BusinessWeek that explains why we aren’t seeing movement from the SEC on writing regulations for the JOBS Act. Also, it’s a little scary what could happen if the regulations make it too expensive for businesses to comply…yikes!

inEarly Discussions Regarding Secondary Market for Crowdfund Shares
This is an interesting discussion because since most of the focus is on what the regulations will look like for Equity-Based Crowdfunding and when it will become available, it is also important to consider the ripple effect. It appears that investors will be forced to hold onto their CF shares for 12 months after purchase. However, unless there is a timeframe (and ability) to trade or sell those shares, the number of shares purchased will be severely limited.

This article is short and sweet. It illustrates that Crowdfunding is NOT the rapid departure from traditional fundraising…and most importantly, it is not a get rich quick scheme for entrepreneurs. Crowdfunding will still require a LOT of work! However, as Points 3 & 4 show, the benefits of the hard work of Crowdfunding vs traditional Capital Raises is the INCREASED EXPOSURE and ACCESS TO MORE CAPITAL.

inThis is an interesting CrowdFunding campaign. Since we are focused on Equity-Based Crowdfunding, we tend to stay away from the established Rewards or Perks Based Crowdfunding. However, this campaign is different as the company is actually looking for Angel investors (for equity) at the same time that it is soliciting cash via a Rewards campaign. Oogave, while it makes a great product, is short on cash and needs to build up its balance sheet to survive the next 18 months.
While we intend to support the IndieGoGo campaign and we hope it will be successful, we worry that potential Angel/Equity investors that are interested in the company will be more inclined to sit back and wait to see what happens with the IndieGoGo campaign. $500k is certainly achievable but it is a lofty goal. If the raise fails and an Angel does not jump in, other investors will be in a better position to buy the company (much more of it for less).
